Michael Saylor, chairman of Strategy, stated that discussing or recommending Bitcoin (BTC) holdings publicly does not require a separate license. In a public post on the 4th, Saylor explained that Bitcoin is treated as a commodity, hence no license is necessary. He emphasized that fraud and market manipulation remain illegal, asserting that advocating for Bitcoin falls under freedom of expression, while regulation should focus on combating misinformation and manipulative practices. The U.S. Commodity Futures Trading Commission (CFTC) outlined its regulatory authority over derivative markets based on digital commodities like Bitcoin. Generally, assets classified as securities are subject to stringent regulations, whereas those treated as commodities are regulated primarily around derivative trading and fraud prevention. The U.S. Securities and Exchange Commission (SEC) characterized Bitcoin as a non-security commodity when approving Bitcoin exchange-traded products (ETPs) in 2024. Saylor's remarks relate to Strategy's positioning of Bitcoin at the center of corporate financial strategy. This statement can be interpreted as a claim about how to distinguish between speech and illegal activities within the U.S. regulatory framework, rather than an investment recommendation to hold or buy Bitcoin.
